Terms of Service
Provider: MIH AI B.V. ("we", "us", "our")
Product: [Bragi] – an AI-powered social media management platform that includes an optional autonomous (agentic) agent mode (the "Service")
1. Who we are and how to contact us
The Service is provided by MIH AI B.V., a company incorporated under the laws of the Netherlands, with registered office at Gustav Mahlerplein 5, 1082 MS Amsterdam, Netherlands registered with the Dutch Chamber of Commerce (KvK) under number 90959582.
You can reach us at support@bragi-ai.com for any question, notice or complaint about the Service, including privacy matters.
2. About these terms
These Terms of Service (the "Terms") form a binding agreement between you and us governing your access to and use of the Service.
A "consumer" means a natural person who uses the Service wholly or mainly outside their trade, business, craft or profession.
If you are a consumer, nothing in these Terms excludes, restricts or otherwise affects any rights or protections that mandatory consumer law gives you. Where any provision of these Terms conflicts with such mandatory law, that law prevails.
Our Privacy Statement, available at https://bragifer.com/privacy and any plan-specific terms presented at checkout form part of these Terms.
By creating an account, clicking to accept these Terms, or using the Service, you agree to these Terms. If you do not agree, you may not use the Service.
3. The service
The Service is a subscription-based platform that lets you:
- connect and manage one or more third-party social media accounts (for example LinkedIn, and X);
- create, schedule and publish content across connected accounts;
- generate AI-assisted content[, including captions, images and video];
- view analytics and performance metrics from your connected accounts; and
- optionally enable an AI agent mode that can prepare and publish content for you, either autonomously or with your prior review, as described in clause 5.
We may improve, change or add features from time to time. Where a change would materially and adversely affect the core functionality of your paid subscription, we will give you reasonable advance notice, and you may terminate the affected subscription and receive a refund of any prepaid amount for the unused part of your current billing period. This does not apply to changes that are minor, beneficial, or needed to keep the Service secure or compliant with law.
Beta Features. Features identified as beta ("Beta Features") are provided free and on an "as is" basis. They are not part of your plan’s core functionality and may be changed or withdrawn at any time. Subject to clauses 11.1 and 13.1, we give no warranties and accept no liability for Beta Features.
4. Eligibility and your account
To use the Service you must have the legal capacity to enter into a binding contract. Paid subscriptions are available only to users who are at least 18 years old, or to minors acting with the consent and under the responsibility of a parent or legal guardian who accepts these Terms.
Where data protection law requires parental consent for the processing of a child’s personal data (generally below the age of 16 in the Netherlands), such consent must be in place before the Service is used.
You must provide accurate and complete registration information and keep it up to date.
You are responsible for keeping your account credentials secure, for all activity under your account, and for notifying us without undue delay at support@bragi-ai.com if you suspect unauthorised access.
5. AI content and agentic operation
Operating modes. The agent feature can operate in the following modes, with human-review mode applying by default until you choose to enable autonomous mode:
- human-review mode, where the agent prepares content and schedules but publishes only after you approve; and
- autonomous (agentic) mode, where the agent can create, schedule and publish content on your connected accounts without separate approval for each item, within the guardrails you configure.
Your guardrails and instructions. You configure the agent’s behaviour, including brand rules, tone, topics, posting frequency, and the accounts it may act on. The agent acts on your configuration and instructions, which constitute your authorisation to publish the resulting content. You may switch between operating modes at any time through the Service settings.
Your responsibility. Content the agent publishes in autonomous mode on your instructions is treated as content published by you. You remain responsible for it in the same way as content you publish yourself.
AI limitations. You acknowledge that AI-generated content may be inaccurate, incomplete or unexpected, and that you remain responsible for checking it where appropriate before relying on or publishing it.
6. Your content and our intellectual property
Your content. You retain all ownership of the content you create, upload or generate through the Service ("Your Content"). You confirm that you have the rights and permissions needed to provide Your Content, connect each account and authorise our use of them under these Terms. You grant us a limited, non-exclusive, worldwide, royalty-free licence to host, store, display, process and transmit Your Content solely to operate and provide the Service to you, including transmitting it to connected social media platforms as you (or the agent on your instructions) direct and processing it for AI features you request. This licence ends when Your Content is deleted or your account is closed, except for copies we must retain by law or in routine backups for a limited period.
AI output. As between you and us, and to the extent such output is capable of ownership, we assign to you or grant you the rights in content the Service generates for you, so that you may use it for your social media purposes. You acknowledge that AI output may not be unique and that similar output may be generated for other users.
Our intellectual property. The Service, including its software, models, design, features and branding, is owned by us or our licensors and is protected by intellectual property law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms. You may not copy, modify, distribute, sell, or reverse engineer any part of the Service.
7. Connecting social media accounts
Platform terms. When you connect a third-party account, you must also comply with that platform’s terms. We do not control, and are not responsible for, third-party platforms or their decisions, including content removal, rate limits, suspension, restriction or termination of your account.
Authorisation. By connecting an account, you authorise us to access your account information and analytics and to publish content in accordance with your settings, for as long as the account remains connected.
Revocation. You may disconnect any account at any time through the Service settings. Disconnecting may stop scheduled or agent activity for that account.
8. Subscriptions, payment and your right of withdrawal
Billing. Fees are collected monthly in advance through Stripe. You authorise us, through Stripe, to charge your chosen payment method for all fees due. Fees are stated at checkout and include VAT where applicable.
Auto-renewal and cancellation. Your subscription renews automatically each month unless you cancel before the next billing date. You may cancel at any time through the Service. Your cancellation takes effect at the end of the current billing period, and you keep access until then.
Price changes. We may change subscription prices by giving you at least 30 days’ notice before the change takes effect. Changes apply from your next billing period. If you do not accept a price change, you may terminate before it takes effect, and the current price applies until then.
First-payment refund. If your first payment was made within the last 14 days and Bragi is not for you, contact us at support@bragi-ai.com and we will refund it in full and end your subscription.
9. Acceptable use
You must not use the Service to:
- breach any applicable law or regulation, or infringe the rights of others;
- create, schedule or publish content that is unlawful, defamatory, harassing, hateful, obscene, or that promotes violence or discrimination;
- infringe intellectual property or privacy rights;
- send spam or unsolicited communications, or post misleading, deceptive or fraudulent content;
- impersonate any person or entity;
- interfere with, disrupt, or attempt to gain unauthorised access to the Service, its systems or any connected platform;
- use unauthorised automated means to access the Service, or circumvent rate limits or usage restrictions; or
- breach the policies of any connected social media platform.
You are responsible for ensuring that the guardrails and instructions you give the agent do not cause it to act contrary to this clause.
10. Privacy and data protection
We process personal data in accordance with the GDPR, the Dutch implementing legislation and our Privacy Statement at https://bragifer.com/privacy which explains what we collect, how we use it, the legal bases, and your rights.
11. Warranties and disclaimers
We will provide the Service with reasonable skill and care.
Subject to clause 11.1, the Service is provided on an “as available” basis. We do not warrant that it will be uninterrupted or error-free, that AI-generated content will be accurate, complete, unique or suitable for a particular purpose, or that content will be accepted, published or remain available on a third-party platform.
12. Indemnity
You agree to indemnify us against claims, damages, losses and reasonable expenses arising from your breach of these Terms, your unlawful use of the Service, your infringement of third-party rights, or content you (or the agent on your instructions) create, publish or share. [This clause does not apply to consumers.]
13. Limitation of liability
Nothing in these Terms excludes or limits our liability for (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) gross negligence or wilful misconduct; or (d) any liability which cannot lawfully be excluded or limited.
Subject to clause 13.1, our total aggregate liability to you arising out of or in connection with the Service, is limited to the total amount of fees paid by you in the twelve (12) months immediately preceding the event giving rise to the claim.
To the fullest extent permitted by law, we are not liable for indirect or consequential loss, or for loss of profit, revenue, business, goodwill, anticipated savings or opportunity.
14. Suspension and termination
You may stop using the Service and close your account at any time, subject to clause 9.
We may suspend or restrict your access where reasonably necessary to protect the Service, other users, or third parties, or where required by law, or where you are in material breach. Except in urgent cases (such as unlawful activity, security risk, or non-payment), we will give you reasonable prior notice and an opportunity to remedy.
We may terminate these Terms on reasonable notice if you materially breach them and fail to remedy the breach within a reasonable period, or immediately for serious breach, fraud or unlawful activity.
On termination, your right to use the Service ends. Clauses 6, 11, 12 and 16, and any provisions which by their nature are intended to survive termination, will continue to apply.
15. Changes to these terms
We may change these Terms for valid reasons, such as changes in law, the Service, or our business. For material changes, we will give you at least 30 days’ notice by email or prominent notice in the Service before they take effect.
If you do not accept a material change, you may terminate the affected subscription before the change takes effect. Your continued use after the change takes effect means you accept it.
16. Governing law and disputes
These Terms are governed by the laws of the Netherlands.
If you are a consumer, you also enjoy the protection of mandatory provisions of the law of your country of habitual residence, and nothing in these Terms deprives you of that protection.
We would like to resolve any issue informally first — please contact us at support@bragi-ai.com and we will try to resolve it in good faith.
Disputes may be brought before the competent Dutch courts. If you are a consumer, you may also bring proceedings in, and may only be sued in, the courts of your country of habitual residence, in accordance with applicable law.
17. General
Assignment. You may not transfer your rights or obligations under these Terms without our consent. We may transfer ours to another group company or in connection with a reorganisation or sale, provided your rights are not reduced; if you are a consumer and the transfer would reduce your rights, you may terminate.
Severability. If any provision is found unenforceable, the rest remain in effect, and the unenforceable provision is replaced by a valid one that comes closest to its intended effect.
No waiver. A delay in enforcing these Terms is not a waiver of our rights.
Entire agreement. These Terms, the Privacy Statement and any plan-specific terms form the entire agreement between you and us about the Service. This does not limit any liability for fraudulent misrepresentation.
